These Terms of Service (“Terms”) govern your access to and use of the StockPulse platform operated by StockPulse (“we”, “our”, or “us”) at stockpulse.co.ke. By creating an account or using our platform, you agree to be bound by these Terms.
You must be at least 18 years old and have the legal authority to bind the business entity you are registering. By creating an account, you represent that all information provided is accurate and complete.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately at hi@stockpulse.co.ke if you suspect unauthorised access.
The Tenant administrator is responsible for managing user access, assigning roles, and ensuring that all users within their organisation comply with these Terms. User limits are determined by your subscription plan.
StockPulse offers multiple subscription plans (Free, Starter, Business, Enterprise) with varying features and usage limits. Plan details and pricing are available on our pricing page. We reserve the right to modify pricing with 30 days' written notice.
New tenants may be eligible for a 14-day free trial on the Business plan. No payment is required during the trial period. At the end of the trial, you must select a paid plan to continue using premium features, or your account will revert to the Free plan.
Subscription fees are billed in advance on a monthly or annual basis through Paystack. We accept M-Pesa, credit/debit cards, and bank transfers. All prices are quoted in Kenyan Shillings (KES) and are inclusive of applicable taxes unless otherwise stated.
You may cancel your subscription at any time from the Billing settings page. Upon cancellation:
Annual subscriptions may be eligible for a pro-rated refund if cancelled within the first 30 days. Contact us at hi@stockpulse.co.ke for refund requests.
If payment fails, we will attempt to collect payment for up to 14 days. If payment remains outstanding, your account may be suspended. Suspended accounts cannot create new transactions but existing data remains intact. Service is restored immediately upon successful payment.
You agree not to:
You retain full ownership of all Content you upload or create on the Platform. We do not claim any intellectual property rights over your business data.
By using the Platform, you grant us a limited, non-exclusive license to process, store, and display your Content solely for the purpose of providing the service. This license terminates when you delete your Content or close your account.
You may export your data at any time using the CSV export features available throughout the Platform. Upon request, we can provide a complete data export in a machine-readable format.
We process your data in accordance with our Privacy Policy, which forms part of these Terms.
StockPulse provides tools to assist with Kenya Revenue Authority (KRA) eTIMS compliance, including manual eTIMS reference tracking and automated OSCU integration. However:
We strive to maintain high availability but do not guarantee uninterrupted access. The Platform may be temporarily unavailable due to scheduled maintenance (which we will announce in advance), infrastructure issues, or force majeure events.
We may modify, update, or discontinue features of the Platform at any time. For material changes that reduce functionality, we will provide at least 30 days' notice. We will not remove features in a way that makes your existing data inaccessible without providing a migration path or data export option.
The StockPulse platform, including its design, code, brand, logo, and documentation, is owned by StockPulse and protected by intellectual property laws. Your subscription grants you a non-exclusive, non-transferable right to use the Platform during the subscription period. This license does not include the right to copy, modify, or create derivative works of the Platform.
To the maximum extent permitted by law:
You agree to indemnify and hold StockPulse harmless from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Platform, violation of these Terms, or infringement of any third party's rights.
We may suspend or terminate your account if you:
Upon termination, your right to use the Platform ceases immediately. We will provide access to export your data for 30 days following termination, except in cases of fraud or illegal activity.
If you participate in our referral or affiliate program, the following additional terms apply:
These Terms are governed by the laws of the Republic of Kenya. Any dispute arising from these Terms or your use of the Platform shall first be resolved through good-faith negotiation. If negotiation fails, disputes shall be submitted to arbitration under the Nairobi Centre for International Arbitration (NCIA) rules. The seat of arbitration shall be Nairobi, Kenya, and proceedings shall be conducted in English.
We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the Platform at least 30 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you disagree with the changes, you may cancel your subscription before they take effect.
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
